Code of Practice 8 (CoP8) HMRC investigations

Code of Practice 8 (COP8) Investigation Specialists

A Code of Practice 8 (COP8) investigation can involve complex transactions and potentially significant amounts of tax.

GSC Consultancy provides specialist representation for individuals and businesses involved in complex HM Revenue & Customs (HMRC) investigations, including COP8 enquiries.

Our experience includes former HMRC Fraud Investigation Service specialists who have worked COP8 and COP9 investigations from within HMRC.

What is a COP8 investigation?

COP8 investigations have historically been associated with HMRC's specialist investigation of complex tax arrangements and significant tax risk.

Unlike Code of Practice 9 (COP9), COP8 does not itself carry the same necessary implication of suspected fraud.

HMRC's operational guidance expressly distinguishes COP8 disclosure reports from CDF/COP9 cases and notes that there is no necessary implication of fraud or culpability in a COP8 case.

That distinction is important when considering how an investigation should be handled.

Why specialist representation matters

Complex tax investigations often involve more than determining whether a number on a tax return is correct.

HMRC may be considering:

  • the legal effect of transactions;
  • the commercial purpose of arrangements;
  • the interpretation of tax legislation;
  • company and trust structures;
  • offshore arrangements;
  • transactions between connected parties;
  • Capital Gains Tax;
  • Corporation Tax;
  • Income Tax; or
  • Inheritance Tax.

The correct response therefore often requires detailed technical analysis combined with an understanding of HMRC investigation procedure.

What GSC Tax Consultancy Can Do for You

Code of Practice 8 (COP8) investigations frequently involve technically complex transactions, substantial amounts of tax and detailed consideration of legislation and evidence.

GSC Tax Consultancy can provide strategic and technical representation throughout the investigation.

We can:

  • review HMRC's opening correspondence and identify the areas under investigation;
  • establish the transactions, entities, taxes and periods potentially affected;
  • review the technical tax treatment of the arrangements;
  • analyse the relevant legislation, HMRC guidance and case law;
  • consider the evidence supporting the tax treatment adopted;
  • prepare detailed technical submissions to HMRC;
  • respond to HMRC information requests;
  • manage correspondence with HMRC's specialist investigation teams;
  • prepare clients for HMRC meetings and attend meetings;
  • independently calculate any potential additional tax;
  • consider assessment and enquiry time limits;
  • analyse the potential penalty position;
  • challenge HMRC's interpretation of the facts or legislation where appropriate;
  • negotiate an appropriate settlement; and
  • manage reviews, ADR and appeals where agreement cannot be reached.

The aim is to identify the genuine areas of tax risk at an early stage and prevent the investigation becoming unnecessarily wider than the issues HMRC is entitled to examine.

Managing the investigation

We can take responsibility for correspondence with HMRC and help establish a clear strategy for resolving the enquiry.

This can include reviewing HMRC's concerns, analysing the underlying transactions, considering HMRC's statutory powers, preparing technical submissions, attending meetings and challenging conclusions where they are not supported by the facts or legislation.

Tax, interest and penalties

Where HMRC considers that additional tax is due, the consequences may extend beyond the underlying liability.

Interest and penalties may also need to be considered.

The applicable assessment periods and penalty position can depend upon the facts and the taxpayer's behaviour.

We examine these issues independently rather than assuming that HMRC's proposed treatment is correct.

Former HMRC investigation experience

Our experience of working within HMRC provides insight into both sides of an investigation.

This is particularly valuable in complex enquiries where understanding HMRC's concerns, evidence and investigation strategy can assist in identifying the real issues in dispute.
